Client Portal Agreement.
For clients using the portal.

What You Are Agreeing To

This Agreement governs your Helmsted account when accepted by you or your authorized representative. You accept this Agreement by signing in to or using the Portal. Helmsted provides information and collaboration tools to support you and the professionals you engage. Your permissions, the rights in your records, and the applicable service terms determine access and continuing services. A firm creating a record about you does not by itself establish your acceptance.

Disputes with Helmsted are subject to individual arbitration under section 21. You may opt out within 30 days of accepting this Agreement. Your separate professional engagements are unaffected.

1

Parties and Purpose

This User Agreement and Consent ("Agreement") is between you ("Client") and Helmsted, Inc., a Delaware corporation. It governs your accepted use of the Helmsted client portal ("Portal"). References to your Adviser mean the registered investment adviser you engage; other professionals serve you under their applicable engagements.

"Service terms" means this Agreement, the Privacy Policy, and any feature terms or consents presented to you in the Portal.

Helmsted provides a data and collaboration platform for independent wealth management, connecting information, tools, and authorized professionals to support clients. Services may include data organization, analysis, communications, integrations, and related workflows. Available services depend on the applicable service terms and authorizations.

Helmsted provides technology and informational assistance, not investment or other professional advice. Each professional remains responsible for its services and for reviewing and approving professional advice and materials before release to the client. Informational tools, including spending and budgeting assistance, may respond directly to clients. AI outputs may contain errors.

2

Account Creation and Access

You must be at least 18 years old, or the age of majority where you live if higher. Information you provide must be accurate and complete.

You must have authority to provide information and act for anyone you represent. Each user must keep individual credentials secure and report suspected compromise to security@helmsted.ai. Household membership alone does not grant authority over every member's records.

A Client Account is established under accepted client terms. A firm-created household record alone does not establish your acceptance. Current client access is associated with a participating firm; replacement-provider onboarding is not currently available.

3

How Your Data Is Used

We process information for the services you and your professionals authorize. Features, fees, eligibility, and continuing access depend on the applicable service terms disclosed to you. New charges or regulated services require the applicable agreement and authorizations before activation.

Helmsted does not sell your personal information. Separate client services do not expand rights in information received for a firm.

4

AI Processing and Your AI Assistant

You may receive direct informational assistance, including help with spending, budgeting, and documents, without prior professional review of each response. AI outputs may be inaccurate or incomplete. Helmsted does not provide investment or other professional advice. The responsible professional reviews and approves advice and professional materials before release and remains responsible for its services.

5

Conversation Visibility

Relevant interaction records, including summaries and underlying conversations, may be available to professionals and personnel authorized for that interaction, supervision, or required recordkeeping. Sharing a document does not by itself authorize access to unrelated conversations. Necessary compliance records may remain accessible after the engagement. The assistant is not a private channel from professionals authorized for that conversation. Authorized Helmsted personnel may access your account to provide support, maintain security, and meet legal obligations.

6

No AI Model Training

Helmsted will not use your information to train, fine-tune, or improve AI models. Helmsted submits your information to AI providers only under verified arrangements prohibiting model training and providing zero retention of customer inputs and outputs for the services used. Required settings must be maintained. Helmsted retains service records separately. Share only the information needed for your request.

7

Communications Consent

We may send service-related messages about your account. Optional texts, automated or AI-voice calls, marketing, and recording require the notices and consents applicable to the activity before it begins. A phone number or acceptance of this Agreement alone does not supply all required consent.

Consent requests identify the sender, purpose, and withdrawal methods. You may decline optional communications or withdraw consent using those methods or by contacting Helmsted. AI-voice interactions identify themselves as automated. Each party remains responsible for its communications and recording activities.

Optional communications consent is not a condition of using the Portal. Message and data rates may apply. Required frequency, sender, purpose, and withdrawal disclosures appear in the applicable consent request.

8

Document Uploads and Sharing

You retain your applicable rights in your records and authorize their processing for the services you request. Where available, you may authorize designated eligible information to be shared with participating professionals, including advisers, accountants, attorneys, and insurance professionals. Another professional relationship alone does not give your adviser a veto over that sharing.

Authorization must respect other people's rights, firm-confidential materials, restricted feeds, and applicable law. Independent recipients serve you under their own terms; participation alone is not a guarantee of their services. You may revoke future sharing through available controls or privacy@helmsted.ai. Required retained copies are handled under applicable obligations.

Client Records are records supplied by or for a client for their services, excluding protected firm work product and restricted feed data unless the rights in a particular copy permit client retention. Firm work product includes client-specific professional deliverables and internal firm notes, workflows, and configuration. Restricted feed data includes Plaid and custodial information subject to source limits. Existing rights in copies delivered to you remain protected.

9

Account Aggregation and Connected Accounts

Account connections are optional and require the applicable data-access and sharing authorizations. By connecting an account, you authorize Helmsted and its connection provider to access and refresh that account's information until you disconnect it. Helmsted does not store your financial-institution password. Retrieval continues only while authorization and provider arrangements remain valid.

You may request disconnection or deletion through available controls or Helmsted. Disconnecting stops future retrieval; prior data is deleted or retained under applicable requirements. Retained history does not transfer credentials or authorize a new professional to refresh or access the account.

Connecting an account is optional and is a separate affirmative action; it is not required to use the Portal.

The Portal may include tools that access third-party websites and services at your direction. You are responsible for having authority to access any account or site you use with these tools and for following that site's terms. Helmsted is not responsible for third-party site actions or availability and may limit or suspend these tools at any time.

10

Expanded Services

Helmsted may add or change services under the applicable terms, with notice of material changes. Additional professional services require the relevant engagement and authorizations. Planned features are not guaranteed.

11

Beta and Evolving Services

Features may be offered on a beta or pilot basis and may be imperfect, modified, or discontinued under the applicable service terms. Routine changes within existing rights do not require acceptance of this Agreement again. Material changes follow section 20; required feature authorizations remain separate.

12

Recording and Transcription

Recording and transcription require the notices and consents applicable to the activity before it begins. Recordings and transcriptions are processed under the applicable safeguards and retention terms. Each party remains responsible for its own activities. When your Adviser uses meeting transcription, your Adviser is responsible for any notice and consent the law requires.

13

Data Security

Helmsted uses industry-standard security practices to protect your information, including:

  • Encryption of data in transit and at rest
  • Role-based access controls and individual credentials
  • Significant platform activity and AI-processing metadata logs
  • Written security policies; current audit status is at helmsted.ai/security

No technology system can be guaranteed completely secure. In the event of a data breach affecting your information, Helmsted will notify your Adviser and, where required by law, you.

14

Your Rights

You have the right to:

  • Access the personal information Helmsted holds about you
  • Request correction of inaccurate information
  • Request deletion of your data (subject to your Adviser's regulatory recordkeeping obligations)
  • Receive your data in a portable format upon request
  • Withdraw consent to non-essential processing at any time

You may exercise these rights by contacting Helmsted directly at privacy@helmsted.ai, or through your Adviser. Records subject to required preservation duties, including after your Adviser’s engagement ends, are preserved for the required period even if you request deletion; Helmsted will tell you if that applies to part of your request.

California residents may have additional rights under the California Consumer Privacy Act (CCPA), including the right to know, the right to delete, and the right to opt out of the sale of personal information. Helmsted does not sell personal information.

15

Helmsted Is a Technology Platform

Helmsted does not act as a registered investment adviser, broker-dealer, or fiduciary. Each professional remains responsible for their services. This does not excuse Helmsted’s own contractual and legal duties.

16

Disclaimers and Limitation of Liability

The Portal is provided on an "as is" and "as available" basis. Helmsted does not warrant uninterrupted availability or error-free outputs. Beta or pilot features may be incomplete, modified, or discontinued, subject to applicable notice requirements and your accepted service terms.

AI-generated outputs, including assistant responses, summaries, and surfaced insights, may contain errors or omissions and are not a substitute for your Adviser's professional judgment. Please do not rely on them as advice.

To the fullest extent permitted by law, Helmsted is not liable for any indirect, incidental, special, or consequential damages arising out of your use of the Portal, and Helmsted's total liability to you for any claim arising out of or relating to the Portal will not exceed one hundred dollars ($100). These limitations do not apply to losses caused by Helmsted's gross negligence, willful misconduct, or fraud. Nothing in this Agreement limits your rights against your Adviser under your separate advisory relationship, or limits any liability that cannot be excluded under applicable law.

17

Electronic Records and Signatures

You agree to receive this Agreement, notices, and records electronically; you may request a paper copy or withdraw this consent at privacy@helmsted.ai, which may end Portal access. Records are provided electronically where permitted. Contact privacy@helmsted.ai for copies, contact updates, or delivery options. Where legally required, electronic-delivery consent is obtained through a process explaining scope, paper options, withdrawal, consequences, and access requirements.

18

Account Continuity, Suspension, and Termination

Where available under separately accepted service terms, your account may support continuing services and other authorized professional relationships. Ending one relationship does not itself terminate another valid relationship. Eligible records may remain only for authorized services or lawful preservation. This does not promise uninterrupted access or a future feature. Firm work product, delivered copies, and restricted feeds retain their applicable rights and limits.

You may request closure directly from Helmsted. We verify authority without undue delay and delete eligible records within the periods required by applicable law and your accepted service terms, subject to lawful retention and source restrictions. Restricted backups follow the applicable retention requirements. Former professionals receive only the access required for authorized compliance purposes.

Helmsted may restrict access for security, misuse, legal requirements, or breach of applicable service terms. Any closure for inactivity or discontinuation must follow disclosed terms, reasonable advance notice and an export opportunity where lawful and practicable, without defeating retention duties or another valid relationship.

Helmsted will notify affected clients of the end of the firm relationship and the available continuing-service or closure options. Current availability does not remove rights under a previously accepted agreement.

19

General

This Agreement, together with any feature-specific terms or consents you accept, is the entire agreement between you and Helmsted regarding the Portal. If any provision is found unenforceable, the remaining provisions stay in effect. Helmsted's failure to enforce any provision is not a waiver of it. You may not assign this Agreement; Helmsted may assign it in connection with a merger, acquisition, or sale of substantially all of its assets. We may provide notices to you by email or through the Portal.

20

Changes to This Agreement

We may update this Agreement by posting a new version, with advance notice of material changes by email or in the Portal; continued use after notice means acceptance where the law permits. Required additional consent is obtained before a new use or disclosure. General acceptance does not replace separate authorization for a connection, recording, regulated service, or other activity requiring it.

Routine updates within existing rights may take effect when posted. Prior accepted versions remain applicable until validly amended.

21

Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Delaware, without regard to its conflict of law provisions.

Talk to us first. If you have a dispute with Helmsted, please contact us at privacy@helmsted.ai. Most concerns can be resolved informally, and we will work with you in good faith for 60 days before either of us begins a formal proceeding.

Individual arbitration. Any dispute between you and Helmsted arising out of this Agreement or the Portal that we cannot resolve informally will be resolved by binding arbitration before a single arbitrator, administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. Arbitration will take place by videoconference or in the county where you live, with fees allocated as provided in those rules. Either of us may instead bring an individual claim in small claims court, or seek injunctive relief in court to protect intellectual property or the security of the Platform.

No class actions. You and Helmsted may bring claims against each other only in an individual capacity, and not as a plaintiff or class member in any class, consolidated, or representative proceeding, and each of us waives the right to a jury trial. If this class action waiver is found unenforceable, this entire arbitration provision is void.

Your right to opt out. You may opt out of this arbitration provision within 30 days of accepting this Agreement by emailing privacy@helmsted.ai with your name and the email address on your account. Opting out does not affect any other part of this Agreement.

Your Adviser. This section applies only to disputes between you and Helmsted. It does not apply to any dispute between you and your Adviser, which is governed by your advisory relationship.
